By creating an account, clicking “I agree,” or otherwise accessing or using Loop and any of its associated services, applications, or tools (collectively, the “Platform”), you (“User,” “you,” or “your”) agree to be bound by these Terms & Conditions (“Terms”), our Privacy Policy, and any additional guidelines, policies, or rules posted on the Platform, all of which are incorporated herein by reference. These Terms form a legally binding agreement between you and Loop. If you do not agree to these Terms in their entirety, you must not access or use the Platform.
If you are agreeing to these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case “you” will refer to that entity. If you do not have such authority, you must not accept these Terms or use the Platform on behalf of that entity.
To use the Platform, you must: (a) be at least 18 years of age; (b) have the legal capacity to enter into binding contracts under applicable law; (c) not be barred from using the Platform under the laws of the United States or any other applicable jurisdiction; and (d) not have had a previous Loop account suspended or terminated for violations of these Terms. By registering, you represent and warrant that you satisfy all of the foregoing requirements. Loop reserves the right to request proof of age or identity at any time and to suspend accounts where eligibility cannot be confirmed.
Loop is a two-sided marketplace that facilitates introductions, negotiations, contracting, content delivery, funds holding, and payment between content creators (“Creators”) and brands, businesses, and marketing teams (“Brands”). Loop provides the technology infrastructure and support services that enable these interactions but is not a party to any underlying agreement between a Creator and a Brand. Loop does not produce, commission, endorse, or guarantee any content, campaign outcome, return on investment, engagement rate, or other result.
Loop reserves the right, at its sole discretion, to modify, suspend, discontinue, or restrict access to any feature or portion of the Platform at any time, with or without notice, and without liability to you. We are not obligated to provide any specific feature or maintain any feature in its current form.
This section governs one of the most fundamental obligations of all Loop users and must be read carefully.
5.1 All Connections Must Transact Through Loop. Any connection, introduction, match, or communication between a Creator and a Brand that originates on or through the Platform — including connections made through the Discover feature, Loop-generated proposals, Loop tag scans, messages initiated on the Platform, or any referral or introduction traceable to Loop — must result in all associated paid work, content production, licensing, usage rights, sponsorships, and payments being completed exclusively through the Platform. You may not use the Platform merely to identify counterparties and then conduct business outside of it. Doing so (“circumvention”) is a material breach of these Terms and may result in legal liability.
5.2 Mandatory Use of Loop Payment and Funds-Hold Systems. All financial transactions arising from a Creator-Brand relationship that originated on Loop must be funded, held, and released through Loop’s payment and funds-hold infrastructure, powered by Stripe. You may not arrange, accept, request, or facilitate payments outside Loop’s payment system for any work that falls within the scope of a Loop-originated relationship, regardless of the medium through which such payments are made (including but not limited to bank transfer, cash, cryptocurrency, gift cards, barter, or third-party payment applications).
5.3 Twelve-Month Non-Circumvention Period. The prohibition on circumvention applies during the active term of any gig and for a period of twelve (12) calendar months following the completion, cancellation, or expiration of the most recent gig between a given Creator and Brand pair. During this period, you may not engage, contract, hire, or otherwise work with any counterparty you first encountered through Loop for any paid content, marketing, or sponsorship work outside of the Platform.
5.4 Consequences of Circumvention. If Loop determines, in its reasonable judgment, that circumvention has occurred, Loop may, without limitation: (a) immediately suspend or permanently terminate the accounts of all parties involved; (b) forfeit any held funds in accordance with the applicable cancellation policy; (c) pursue damages, including Loop’s lost service fees calculated at the standard rate on the estimated value of the off-platform transaction, plus reasonable attorneys’ fees; and (d) report the conduct to relevant regulatory or law enforcement authorities where applicable.
5.5 Reporting Circumvention. If you become aware of or are solicited to engage in circumvention, you are encouraged to report it to Loop at legal@loop.so. Loop will investigate all credible reports and may offer protections to good-faith reporters.
6.1 Legally Binding Contracts. Every gig entered into through the Platform is governed by a contract (“Gig Contract”) that is legally binding on both the Creator and the Brand. The Gig Contract, as presented and signed within the gig workspace, constitutes the entire agreement between the parties with respect to the specific deliverable and supersedes any prior oral or written communications between them regarding that deliverable.
6.2 Mandatory Compliance with Contract Terms. Both Creators and Brands must comply in full with all terms of their signed Gig Contracts, including but not limited to deliverable specifications, creative brief requirements, timelines and deadlines, revision rounds, post-lifetime requirements, usage rights granted, compensation amounts, and FTC and advertising disclosure obligations. No party may unilaterally modify, waive, or deviate from the signed Gig Contract terms without the express written agreement of the counterparty and acknowledgment by Loop.
6.3 Contract Formation. A Gig Contract is formed when: (a) a Brand posts a gig or sends an offer; (b) the Creator accepts the offer within the Platform; and (c) the Brand funds the hold in full. No Gig Contract is enforceable until all three conditions are met. Loop is not a party to the Gig Contract but provides the technology infrastructure through which it is formed and executed.
6.4 Modification of Contract Terms.Requests to modify a Gig Contract’s scope, timeline, or compensation must be initiated and accepted through the Platform’s offer amendment features. Verbal or off-platform agreements to modify a Gig Contract are not recognized by Loop and will not affect dispute resolution outcomes.
6.5 Contract Enforcement. In the event of a dispute regarding compliance with a Gig Contract, Loop’s dispute resolution team will assess the dispute based solely on the written Gig Contract terms and evidence submitted through the Platform. Loop’s decision regarding release of held funds in a dispute is final and binding. Users are encouraged to document all material communications and deliverable submissions within the Platform.
7.1 Funds-Hold Model. All gig payments are processed through Loop’s funds-hold system. When a Brand funds a gig, the payment is held securely by Loop and not released to the Creator until the Brand approves the deliverable or the auto-approval deadline passes without action. For the avoidance of doubt, Loop is not a bank, trust company, or licensed escrow agent, and the holding of funds described here does not constitute an escrow service in any regulated sense; it is a contractual payment-holding arrangement operated through Loop’s payment processor. This protects both parties: Brands are assured funds are held until work is delivered; Creators are assured payment is secured before production begins.
7.2 Fee Structure. Loop charges a platform service fee on each transaction. The exact fee amount applicable to your account type and transaction is displayed in full on the deal summary screen before you confirm a gig. Fees are non-refundable except as expressly stated in these Terms or required by applicable law.
7.3 Payment Processing. All payments are processed by Stripe, Inc. under Stripe’s Terms of Service. By using the Platform, you agree to be bound by Stripe’s applicable terms. Loop is not responsible for errors, delays, or failures caused by Stripe’s systems or bank processing times.
7.4 Creator Payouts.Creators must complete Stripe Connect onboarding to receive payouts. Loop initiates payout transfers promptly upon gig approval or auto-approval, but actual receipt of funds depends on Stripe and the Creator’s financial institution. Loop is not liable for delays in payout caused by Stripe verification processes, bank processing times, or errors in the Creator’s payout account information.
7.5 Refunds and Cancellations.Refund eligibility on gig cancellation depends on the gig’s current status at the time of cancellation. The applicable refund schedule is displayed to you at the time you initiate a cancellation. Once a deliverable has been approved and a payout has been released, no refund is available except in cases of demonstrable fraud or where required by applicable consumer protection law.
7.6 Taxes. You are solely responsible for determining and satisfying all tax obligations arising from your use of the Platform, including income tax on earnings, VAT, GST, sales tax, and any withholding obligations. Loop may be required by law to report certain payment amounts to tax authorities. Loop does not provide tax advice, and you are encouraged to consult a qualified tax professional.
7.7 Brand Balance. Brands may pre-load a platform balance, which can be applied toward future gig funding. Pre-loaded balances are non-refundable and non-transferable except as required by applicable law or in the event of account termination by Loop without cause.
10.1 Creator Ownership. Creators retain full ownership of all content they produce until the usage rights specified in the Gig Contract take effect. The existence of a Gig Contract does not by itself transfer any intellectual property rights to the Brand.
10.2 Usage Rights. Upon completion of a gig and release of payment, the Brand receives only the specific usage rights explicitly defined in the signed Gig Contract (e.g., specified platforms, territories, durations, and permitted uses). All rights not expressly granted remain with the Creator.
10.3 Loop Platform License. You grant Loop a limited, non-exclusive, royalty-free, worldwide license to: (a) display your profile data, name, handle, and portfolio items on the Platform to other users; (b) reproduce, distribute, and display your content within the Platform for the purpose of facilitating gig workflows; and (c) feature your name, handle, and publicly shared content in Loop’s own marketing materials and case studies, subject to your prior consent for specific promotional uses.
10.4 Loop Intellectual Property. All software, design, text, graphics, logos, icons, and technology comprising the Platform are owned by or licensed to Loop and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works of any Loop intellectual property without our express written consent.
10.5 DMCA Takedown. If you believe that content on the Platform infringes your copyright, please submit a notice to legal@loop.so including: (a) a description of the copyrighted work; (b) the URL of the allegedly infringing content; (c) your contact information; (d) a statement of good faith belief; and (e) a statement of accuracy and authority under penalty of perjury.
You agree not to:
Violations of this section may result in immediate account suspension or permanent termination, forfeiture of any balance or held funds, civil or criminal liability, and referral to law enforcement where applicable. Loop may pursue all available legal and equitable remedies for prohibited conduct.
Upon completing creator onboarding, each Creator receives a unique Loop tag (in the format LOOP-XXXX-XXXX) and an associated QR code. The Loop tag is issued as a certification of the Creator’s verified platform presence and onboarding status and functions as a portable credential that Brands may scan to access the Creator’s verified profile. Loop tags are personal to the Creator and may not be transferred, shared, or resold. Loop reserves the right to revoke or reassign a Loop tag if the associated account is suspended, terminated, or found to be fraudulent.
13.1 Dispute Initiation. Either party to a gig may initiate a dispute through the gig workspace if they believe the counterparty has failed to comply with the Gig Contract. Disputes must be initiated within 14 days of the event giving rise to the dispute.
13.2 Loop’s Role. Loop will review dispute submissions and may request additional evidence, documentation, or statements from either or both parties. Loop will endeavor to issue a dispute decision within 10 business days of receiving all required information.
13.3 Finality of Funds-Hold Decisions.Loop’s decision regarding the release, partial release, or return of held funds in a dispute is final and binding on all parties. Loop’s liability in any dispute is limited to the amount held at the time the dispute is initiated.
13.4 User-to-User Claims.Any legal claims arising between a Creator and a Brand that go beyond held amounts must be pursued independently between those parties. Loop is not a party to Gig Contracts and is not liable for damages arising from a counterparty’s breach of a Gig Contract beyond the held amount.
Loop does not pre-screen content submitted through the Platform but reserves the right to remove any content that violates these Terms or our Content Standards. Content Standards prohibit: hate speech; content sexualizing minors; content that promotes violence or illegal activity; content that infringes third-party intellectual property rights; and content that is deceptive or fraudulent. Repeated violations of Content Standards will result in account termination. Users whose accounts are terminated for Content Standards violations will not be eligible for refunds of any kind.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LOOP, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY: (A) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; (B) LOSS OF PROFITS, REVENUE, BUSINESS, OR GOODWILL; (C) LOSS OF DATA OR DATA CORRUPTION; (D) COST OF SUBSTITUTE GOODS OR SERVICES; OR (E) ANY OTHER LOSSES ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM, EVEN IF LOOP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOOP’S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM IS LIMITED TO THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO LOOP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100 USD).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, LOOP’S LIABILITY WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.
You agree to defend, indemnify, and hold harmless Loop, its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers from and against any and all claims, damages, judgments, awards, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use or misuse of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law, regulation, or third-party right; (d) any content you submit, post, or transmit through the Platform; (e) any dispute between you and another user; or (f) any circumvention of the Platform’s payment systems. 20.2 Binding Arbitration. If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform that cannot be resolved informally will be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (available at www.adr.org), except as provided in Section 20.4 below. The arbitration will be conducted in English, and the arbitrator’s decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.
